USB Audio Driver Terms of Use

These Terms of Use (hereinafter, “these Terms”) shall be applied to all customers who use the USB audio driver for ECLIPSE home audio products (hereinafter, “this Software”) from DENSO Ten Limited (hereinafter, “this Company”).
If you do not consent to these Terms, you shall not use this Software. If you download, install, or use this Software, it shall be deemed that you have consented to these Terms.

Article 1 (Licensing)

Under the condition that you comply with the contents of these Terms, you may use this Software with an ECLIPSE home audio product.

Article 2 (Prohibited Matters)

In the course of using this Software, regardless of whether intentional or negligent, you shall not perform any of the following acts or acts which cause the risk thereof, by yourself or using a third party.

(1) Acts which use this Software in a method not explicitly permitted by this Company, including the following:
(a) Analyzing this Software, such as reverse-assembly, reverse-compiling, or reverse-engineering
(b) Altering, selling, loaning, transferring, or reselling all or part of this Software
(c) Copying, distributing, or transmitting all or part of this Software
(2) Acts which use this Software for commercial purposes, regardless of whether it is for compensation or not
(3) Other acts which this Company determines to be illegitimate

Article 3 (Relegation of Copyrights, Etc., and Scope of Use)

1. All rights related to this Software, including intellectual property rights such as copyrights, shall belong to this Company or to a third party who has the appropriate authority.
2. Your right to use this Software is non-exclusive. You shall not allow a third party to use this Software by sublicensing, transferring, or by conferring a contractual position.

Article 4 (Warranty)

This Software and all accompanying materials are provided solely “as is.” This Company makes no guarantees to our customers or a third party regarding this Software’s and its accompanying materials’ merchantability, compatibility with a particular purpose, non-violation of a third party’s right, or any other matter.

Article 5 (Disclaimer)

(1) This Company shall bear no liability for any damage resulting from the use of, or inability to use, this Software or any accompanying materials (including, but not limited to, damages due to loss of profit, interruption of business, or loss of/damage to information).
(2) This Software is subject to alteration, stoppage, or termination without any notification in advance.

Article 6 (Change of Terms)

This Company may change these Terms without notifying you in advance. Said changes will be displayed on the website operated by this Company related to this software, accessible by using a PC. If you use this Software after a change to these Terms, it will be deemed that you have consented to the Terms after the said change.

Article 7 (Violation of the Terms)

1. If you violate the conditions determined in these Terms, this Company may terminate the license hereunder and terminate use of this Software without notifying you in advance.
2. If any damages are incurred by this Company or a third party due to your violation of these Terms, you shall pay compensation for those damages.

Article 8 (Applicable Laws / Competent Court)

1. The laws of Japan shall be applied to these Terms.
2. If litigation becomes necessary between you and this Company in relation to this Software, the Kobe District Court, Japan, shall be the exclusive agreed competent court of first instance.
